End User License Agreement (EULA)

1. Grant of License

Subject to the terms and conditions of this Agreement, Smart Expense ("Licensor") hereby grants you ("Licensee") a limited, non-exclusive, non-transferable, revocable license to use the Smart Expense mobile application ("Software") on your personal devices for your personal, non-commercial use.

2. Restrictions

You may NOT:

  • Copy, modify, or create derivative works of the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
  • Rent, lease, lend, sell, sublicense, assign, or otherwise transfer the Software or your rights under this Agreement
  • Use the Software for any commercial purpose without prior written consent
  • Use the Software in any manner that violates applicable laws or regulations

3. Intellectual Property Rights

The Software and all intellectual property rights therein are and shall remain the exclusive property of Licensor and its licensors. This Agreement does not grant you any rights to use Licensor's trademarks, service marks, logos, domain names, or other brand features.

4. User Content and Data

You retain all rights to any data, content, or information you input, upload, or create using the Software ("User Content"). By using the Software, you grant Licensor a limited, non-exclusive license to use, process, and store your User Content solely for the purpose of providing and improving the Software's functionality.

You are solely responsible for your User Content and warrant that you have all necessary rights to grant the license described above.

5. Email Integration

The Software may allow you to connect your email account (Gmail or Outlook) to automatically extract expense information. By connecting your email account:

  • You grant Licensor permission to access your emails solely for expense extraction purposes
  • You acknowledge that Licensor does not store your email content on its servers
  • You understand that email processing is done securely using industry-standard OAuth authentication
  • You may disconnect your email account at any time through the Software settings

6. Updates and Modifications

Licensor may, at its sole discretion, provide updates, upgrades, or modifications to the Software. This Agreement will govern any such updates unless they are accompanied by a separate license agreement. You are not obligated to install updates, but failure to do so may affect the Software's functionality.

7. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and delete all copies in your possession.

Licensor reserves the right to terminate this Agreement at any time for any reason, with or without notice.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR PERFORMANCE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY.

10. Export Restrictions

You may not use or export the Software in violation of any applicable laws or regulations, including but not limited to United States export laws and regulations. You agree to comply with all such laws and regulations.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in San Francisco, California.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, relating to the Software.
